A TotalEnergies anuncia que sua subsidiária TotalEnergies EP Nigeria assinou um contrato de compra e venda (SPA) com a Chappal Energies para a venda de sua participação de 10% nas licenças SPDC JV na Nigéria. A SPDC JV é uma joint venture sem personalidade jurídica entre a Nigerian National Petroleum Corporation Ltd (55%), a Shell Petroleum Development Company of Nigeria (30%, operadora), a TotalEnergies EP Nigeria (10%) e a NAOC (5%), que detém 18 licenças em o Delta do Níger.
No âmbito do SPA assinado com a Chappal Energies:
• A TotalEnergies EP Nigéria venderá à Chappal Energies a sua participação de 10% e todos os seus direitos e obrigações em 15 licenças da SPDC JV, que produz principalmente petróleo. A produção dessas licenças representou aproximadamente 14 mil barris equivalentes por dia de participação da Companhia em 2023;
• A TotalEnergies EP Nigéria também transferirá para a Chappal Energies a sua participação de 10% nas outras 3 licenças da SPDC JV que produzem principalmente gás (OML 23, OML 28 e OML 77), mantendo ao mesmo tempo o interesse económico total nestas licenças que actualmente representam para 40% do fornecimento de gás GNL da Nigéria.
A transação foi concluída por um valor firme de US$ 860 milhões. O fechamento está sujeito às condições habituais, incluindo aprovações regulatórias.
“A TotalEnergies continua a gerir ativamente o seu portfólio na Nigéria, em linha com a sua estratégia de se concentrar nos seus ativos offshore de petróleo e gás. Após o lançamento do desenvolvimento de gás Ubeta sob a licença OML58 no mês passado, este desinvestimento do nosso interesse nas licenças SPDC JV permite-nos concentrar a nossa presença onshore na Nigéria apenas na cadeia de valor integrada do gás e destina-se a garantir a continuidade do fornecimento de gás de alimentação para Nigeria LNG no futuro”, disse Nicolas Terraz, Presidente de Exploração e Produção da TotalEnergies.
